Affiliate Agreement

This Affiliate Agreement (“Agreement”) governs your participation in the SabiMentors Affiliate Program. By applying or promoting as an affiliate, you agree to these terms.

Sabimentors Technologies Ltd (“Company,” “we,” “us”) and you (“Affiliate,” “you”) are parties to this Agreement.

To become an affiliate:

• Submit a completed application via our affiliate portal
• Provide accurate tax and payment information
• Be at least 18 years of age
• Maintain an active account in good standing

We reserve the right to approve or reject applications at our sole discretion.

Affiliates earn commissions on qualifying purchases made through their unique referral links:

• Standard rate: 20% of the net sale price (excluding taxes, fees, and discounts)
• Tiered bonuses: Higher rates may apply based on monthly volume (details in affiliate dashboard)
• Cookie duration: Referrals are tracked for 30 days from first click
• Multi-session: If a user returns within the cookie window, the affiliate still receives credit

Commissions are calculated on completed payments that have passed the refund period (7 days for digital products).

• Payouts are processed monthly for commissions exceeding ₦5,000 (or equivalent)
• Payment is made via your selected method (bank transfer, Paystack, Flutterwave)
• A minimum 30-day hold applies from the date of the referred sale to account for refunds and chargebacks
• We deduct any applicable transaction fees from the payout
• Inactive affiliates (no referrals in 12 months) may have accrued commissions forfeited after notice

Affiliates receive unique tracking links and/or codes. You agree to:

• Use only approved links and marketing materials
• Not alter tracking codes or attempt to manipulate the system
• Not use your own referral link for self-referrals (purchasing through your own link to earn commission)
• Not use spam, unsolicited email, or deceptive advertising to promote

The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:

• Using bots, scripts, or automated systems to generate referrals
• Bidding on branded keywords (SabiMentors, Sabimentors) in paid search advertising without prior written approval
• Creating fake accounts or using stolen payment methods to generate commissions
• Misrepresenting yourself as an official SabiMentors representative
• Promoting on sites that contain illegal, hateful, or adult content
• Using “cookie stuffing” or other technical manipulation

We may modify the affiliate program terms, commission rates, or payout schedules at any time with 30 days' written notice. Continued participation after changes take effect constitutes acceptance.

Commissions earned before a rate change are paid at the original rate.

Either party may terminate this Agreement at any time, with or without cause, by written notice.

Upon termination:

• You must stop using all affiliate links and marketing materials
• Commissions earned before termination will be paid if the underlying sales are not refunded
• Commissions accrued after the termination date are forfeited

Affiliates are independent contractors, not employees, agents, or joint venturers of SabiMentors. You are responsible for your own taxes, insurance, and compliance with applicable laws.

This Agreement does not create an employment, partnership, or franchise relationship.

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through negotiation, mediation, and finally the courts of Lagos State, Nigeria.
